Please read these Terms & Conditions carefully before completing your purchase. By purchasing, downloading, or using any component of the AI Law Firm Toolkit, you (“Purchaser” or “you”) agree to be bound by these Terms in their entirety. If you do not agree, do not complete your purchase. These Terms constitute a binding agreement between you and Mirasys LLC (“Mirasys,” “we,” or “us”).
1. Nature of the Product
- What you are purchasing. The AI Law Firm Toolkit is a package of professionally prepared template documents, model policies, checklists, guidance memos, and educational reference materials (collectively, the “Documents”). The Toolkit is a document product, not software, not an application, and not a subscription service.
- Starting-point materials only. The Documents are designed as starting points and structural frameworks to help your law firm begin building an internal AI governance program. They are not finished, ready-to-adopt policies. They require review, customization, and approval by qualified legal counsel before use.
- Not legal advice. Nothing in the Documents, in any accompanying written or verbal communications from Mirasys, or on the Mirasys website constitutes legal advice of any kind. The Documents are informational and educational in nature.
- Not a legal opinion. Mirasys does not issue legal opinions. The Documents do not represent a legal opinion regarding your firm’s compliance obligations, exposure, or standing under any applicable law, rule, or regulation.
- Not a compliance guarantee. The Documents are not a guarantee, certification, or assurance of compliance with any law, professional rule, court requirement, or regulatory standard. See Section 5 for additional detail.
2. No Attorney-Client Relationship
- Mirasys is not your attorney. Mirasys LLC is not a law firm. Purchasing the AI Law Firm Toolkit, communicating with Mirasys staff or contractors, attending any consulting session included with your package, or any other interaction with Mirasys does not create, and is not intended to create, an attorney-client relationship between you and Mirasys or any individual associated with Mirasys.
- No confidentiality protections. Because no attorney-client relationship exists, communications with Mirasys are not protected by attorney-client privilege or any related confidentiality doctrine.
- No legal representation. Mirasys does not and cannot represent your firm in any legal, regulatory, disciplinary, or judicial proceeding.
3. Requirement of Independent Attorney Review
- Attorney review is mandatory, not optional. Every document included in the AI Law Firm Toolkit — including but not limited to the AI Usage Policy Template, the Client Disclosure forms, the Vendor Diligence Checklist, and any other governance materials — must be reviewed, evaluated, and approved by a qualified, licensed Texas attorney before your firm adopts, publishes, distributes, or relies upon any such document.
- Customization is required. Template documents contain placeholders, bracketed options, and general language that must be adapted to reflect your firm’s specific size, practice areas, client base, technology stack, staffing structure, and individual circumstances. One-size-fits-all adoption is inappropriate and potentially harmful.
- Mirasys is not a law firm. Mirasys LLC is a business that produces and sells document resources and consulting guidance. Mirasys is not authorized to practice law, does not hold itself out as a law firm, and no individual associated with Mirasys, acting in that capacity, provides legal services to Toolkit purchasers.
- Your responsibility to engage counsel. If your firm does not currently have outside ethics counsel or a qualified attorney available to review AI governance documents, Mirasys strongly recommends you engage such counsel prior to implementing any governance framework. The cost of attorney review is not included in any Toolkit purchase.
4. Consulting Sessions (Enterprise Package)
- Consulting sessions are guidance, not legal services. The Enterprise Package ($2,499) includes a defined number of consulting sessions conducted via video conference. These sessions are designed to assist your firm in understanding the Documents, customizing frameworks, and developing internal governance processes. All consulting content is offered as practical guidance only. Nothing communicated in a consulting session constitutes legal advice, a legal opinion, or an attorney-client communication.
- Session scheduling and format. Consulting sessions are conducted exclusively via video conferencing platform (link provided upon scheduling). Sessions are not available in person or by telephone. Mirasys will make reasonable efforts to accommodate scheduling requests within normal business hours (Central Time).
- Session expiration. Unused consulting sessions expire 90 days from the date of your purchase. Expired sessions are forfeited without refund or credit. It is your responsibility to schedule and use sessions within this window.
- No carry-over or transfer. Consulting sessions may not be rolled over, transferred to another firm or individual, or redeemed as a credit toward other products or services.
5. No Compliance Guarantee

No guarantee of regulatory compliance. Purchasing the AI Law Firm Toolkit,
implementing the Documents in whole or in part, completing any consulting sessions, or following
any guidance provided by Mirasys does not guarantee
that your firm will be in compliance with any applicable law, rule, regulation, court order,
or professional conduct standard — including but not limited to:
- The Texas Responsible Artificial Intelligence Governance Act (TRAIGA / Texas HB 149) and any regulations or guidance promulgated thereunder;
- Texas State Bar Ethics Opinion 705 or any subsequent or superseding ethics opinions;
- ABA Formal Opinion 512 (or any successor ABA opinion on artificial intelligence);
- The Texas Disciplinary Rules of Professional Conduct (TDRPC);
- Any federal, state, or local law governing artificial intelligence, data privacy, consumer protection, or professional services; or
- Any court-specific AI disclosure or usage rules.
- Law and interpretation change. AI governance law is one of the fastest-evolving areas of legal regulation in the United States. Statutes are amended, regulations are issued, ethics opinions are updated, and courts develop new requirements on an ongoing basis. A document that reflects sound practice today may require modification tomorrow.
- Firm-specific circumstances vary. Your firm’s compliance obligations depend on a wide range of factors specific to your practice — including your size, the types of AI tools you use, the nature of your client matters, your client base, your staffing model, and your existing policies. The Documents are general in scope and cannot account for every firm-specific variable.
- No audit or certification. Mirasys does not conduct compliance audits and does not issue certificates of compliance, readiness assessments, or attestations of any kind.
6. Disclaimer of Warranties
- As-is delivery. THE AI LAW FIRM TOOLKIT AND ALL DOCUMENTS, MATERIALS, AND GUIDANCE ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED.

No implied warranties. To the fullest extent permitted by applicable law, Mirasys
expressly disclaims all implied warranties, including without limitation:
- Any warranty of merchantability;
- Any warranty of fitness for a particular purpose;
- Any warranty of regulatory or professional sufficiency;
- Any warranty that the Documents are accurate, complete, or current as of the date of your use; and
- Any warranty that use of the Documents will result in any particular outcome, including a finding of compliance, avoidance of discipline, or favorable court treatment.
- No warranty of error-free content. While Mirasys makes reasonable efforts to ensure the accuracy and quality of the Documents, we do not warrant that they are free from errors, omissions, or inaccuracies.
7. Limitation of Liability
- Cap on liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MIRASYS’S TOTAL AGGREGATE LIABILITY TO YOU ARISING OUT OF OR RELATED TO YOUR PURCHASE OR USE OF THE AI LAW FIRM TOOLKIT — REGARDLESS OF THE FORM OR THEORY OF CLAIM (CONTRACT, TORT, STRICT LIABILITY, STATUTE, OR OTHERWISE) — SHALL NOT EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE SPECIFIC TOOLKIT PACKAGE GIVING RISE TO THE CLAIM.

Exclusion of consequential and other damages. IN NO EVENT SHALL MIRASYS, ITS
MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, OR AGENTS BE LIABLE FOR ANY:
- Indirect, incidental, special, consequential, or punitive damages;
- Lost profits, lost revenue, or loss of business opportunity;
- Reputational harm or loss of goodwill;
- Damages arising from bar complaints, disciplinary proceedings, or professional sanctions against your firm or any of its attorneys;
- Damages arising from malpractice claims made against your firm by clients;
- Sanctions, fines, penalties, or remediation costs imposed by any court, agency, or regulatory body; or
- Damages arising from any adverse court ruling, judgment, or outcome in any matter.
- Essential basis of the bargain. You acknowledge that the limitations on liability set forth in this Section reflect a reasonable allocation of risk and form an essential basis of the transaction between you and Mirasys. Mirasys would not offer the Toolkit at the stated price without these limitations.
- Applicability even if remedy fails. The above limitations apply even if any limited remedy provided herein fails of its essential purpose, and even if Mirasys has been advised of the possibility of such damages.
8. Individual Firm Responsibility
- You make the governance decisions. The Documents in this Toolkit are tools to support your firm’s decision-making — they are not decisions in themselves. Your firm’s leadership and supervising attorneys are ultimately responsible for all AI governance decisions made within the firm, including which policies to adopt, how to implement them, which AI tools to approve for use, and how to train and supervise attorneys and staff.
- No delegation of professional responsibility. Purchasing or using this Toolkit does not transfer, reduce, or delegate any ethical or professional responsibility that your attorneys or firm hold under the TDRPC, applicable court rules, or any other professional conduct framework. All professional duties remain fully with the firm and its licensed attorneys.
- Judgment and adaptation required. Responsible use of the Toolkit requires the exercise of professional judgment in adapting the Documents to your firm’s actual practices, culture, client relationships, and risk tolerance. Mechanical, unadapted adoption of templates without legal review is strongly discouraged and is inconsistent with the intended use of this product.
9. Currency of Documents; Law Changes
- Point-in-time documents. The Documents reflect Mirasys’s understanding of applicable laws, rules, ethics opinions, and professional guidance as of their stated version date of April 2026. The AI governance landscape — including statutes, regulations, bar opinions, and court rules — is evolving rapidly. The Documents may not reflect legal developments occurring after that date.
- No commitment to update. Mirasys does not guarantee, promise, or commit to providing updates, revisions, or amended versions of the Documents following changes in law, regulation, or professional guidance. Any updates that Mirasys elects to provide, if any, are at Mirasys’s sole discretion and may be offered at additional cost.
- Your obligation to monitor. It is your firm’s responsibility to monitor developments in AI governance law and professional conduct standards and to revise your governance documents accordingly — whether or not Mirasys provides updates. Retaining qualified ethics counsel or bar-approved advisory resources is the best way to stay current.
10. Digital Delivery
- Delivery method. The AI Law Firm Toolkit is delivered exclusively as digital files (PDF, DOCX, or similar formats as specified at the time of purchase). No physical documents, printed materials, binders, or physical media of any kind are included or available.
- Delivery timeline. Mirasys will deliver download access or digital files to the email address provided at checkout within 24 hours of order confirmation. In most cases, delivery occurs significantly sooner.
- Your responsibility for access. You are responsible for providing a valid, functioning email address at checkout. If delivery fails due to an incorrect email address, full inbox, spam filtering, or other conditions within your control, Mirasys’s delivery obligation is not negated. Contact [email protected] promptly to resolve delivery issues.
- File backup. Mirasys is not responsible for your long-term access to or storage of the delivered files. We recommend you download and save the files to a secure location promptly upon receipt. Mirasys does not guarantee indefinite availability of download links.
11. Refund Policy
- No refunds after delivery. Because the AI Law Firm Toolkit is a digital product that is immediately accessible upon delivery, all sales are final once the documents have been delivered to you. No refunds, credits, chargebacks, or exchanges will be provided after the digital files have been transmitted to your email address or made available for download.
- Pre-delivery cancellation. If you wish to cancel your order prior to delivery of the Documents, you must notify Mirasys by email at [email protected] within 2 hours of your order confirmation. Cancellation requests received within this window and before delivery will be honored with a full refund. Requests received after 2 hours or after delivery has occurred will not be eligible for a refund regardless of whether you have opened or reviewed the files.
- No refund for dissatisfaction. Dissatisfaction with the content, scope, or format of the Documents is not a basis for a refund. By completing your purchase, you acknowledge that you have reviewed the product description and understand the nature and limitations of the Toolkit as described on the Mirasys website and in these Terms.
12. Permitted Use and License
- Limited license grant. Upon purchase and full payment, Mirasys grants you a limited, non-exclusive, non-transferable license to use, reproduce internally, and adapt the Documents solely for the internal AI governance purposes of the purchasing law firm identified at checkout.
- Firm-only use. The license covers only the purchasing firm. Use of the Documents by any other law firm, organization, individual, or entity — whether affiliated with the purchaser or not — is not permitted under this license.
- No resale or redistribution. You may not sell, resell, lease, sublicense, distribute, share, post publicly, or otherwise make the Documents (in original or modified form) available to any third party outside your firm. This prohibition applies to bar associations, continuing legal education providers, other law firms, consultants, and any other recipients.
- No derivative commercial products. You may not use the Documents as the basis for a competing commercial product, template service, or document library offered to others, whether for compensation or free of charge.
- Ownership retained by Mirasys. All intellectual property rights in the Documents, including copyright, remain exclusively with Mirasys LLC. The license granted herein does not constitute a transfer of ownership of any kind.
- Breach of license. Unauthorized use, redistribution, or sublicensing of the Documents is a material breach of these Terms and may result in termination of your license, legal action for copyright infringement, and pursuit of all available remedies.
13. Accuracy of Purchaser Information
- Accurate information required. You represent and warrant that all information you provide during the checkout process — including your firm name, contact name, email address, billing information, and any other requested details — is accurate, current, and complete at the time of submission.
- No liability for inaccurate information. Mirasys is not liable for any failure of delivery, loss of access, or other consequence arising from inaccurate, incomplete, or outdated information provided by you at checkout.
- Authorized purchaser. By completing a purchase, you represent that you are authorized to enter into this agreement on behalf of the purchasing law firm.
14. Governing Law and Dispute Resolution
- Texas law governs. These Terms, your purchase, and any dispute arising between you and Mirasys shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-laws provisions.
- Exclusive jurisdiction and venue. Any legal action, claim, or proceeding arising out of or related to these Terms or the AI Law Firm Toolkit shall be brought exclusively in the state or federal courts located in Travis County, Texas. You consent to the personal jurisdiction of such courts and waive any objection to venue in Travis County.
- Informal resolution first. Before initiating any formal legal proceeding, you agree to contact Mirasys at [email protected] and provide a written description of your claim. Both parties agree to make a good-faith effort to resolve the matter informally within 30 days of that notice.
- Limitation on claims. Any claim against Mirasys arising from your purchase or use of the Toolkit must be brought within one (1) year of the date the claim accrued, or it is permanently waived and barred.
15. General Provisions
- Entire agreement. These Terms, together with any order confirmation and the product description at the time of purchase, constitute the entire agreement between you and Mirasys with respect to the AI Law Firm Toolkit and supersede all prior communications, representations, or understandings.
- Modifications. Mirasys reserves the right to modify these Terms at any time. Changes will be effective upon posting to the Mirasys website. For purchases already completed, the Terms in effect at the time of purchase govern. For prospective purchases, the most current Terms apply.
- Severability. If any provision of these Terms is found to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and all remaining provisions shall remain in full force and effect.
- No waiver. Mirasys’s failure to enforce any provision of these Terms on any occasion shall not constitute a waiver of that provision or Mirasys’s right to enforce it in the future.
- Assignment. You may not assign your rights or obligations under these Terms to any other party. Mirasys may assign these Terms in connection with a merger, acquisition, or sale of substantially all of its assets.
- Electronic agreement. By completing a purchase, you agree that your electronic acceptance of these Terms is legally binding and has the same effect as a written, signed agreement.
